Legal & Compliance Manager/ Senior Manager

Duties and Responsibilities
1. Legal
• Sound knowledge and experience with the legal and regulatory framework
• Assess, evaluate and advise management team, staff of legal exposure and risks related legal issues
• Draft, negotiate, review, advise on commercial agreements with external parties
• Advise on legal issues arising from employment matters and or employment related disputes
• Develop legal contract templates, standard documents
• Identify, develop and communicate legal policies, procedures, best practices and training program for material and recurring legal issues
2. Compliance
• Establish the regulatory compliance program
• Lead and conduct monthly Anti-Corruption Monitoring Activities
• Verify the Proper Completion of the FCPA Certification Quarterly 
• Initiate and drive Compliance Review Board meetings
• Prepare monthly Compliance Report
3. Risk Identification, Monitoring and Evaluation
• Provide strategic and tactical advice to business units and monitor the process in managing risk mitigation plans
• Drive the Annual Risk Assessment program and policies
4. Investigation
• Lead and manage investigations in accordance with the Company’s Investigations Policy
• Write investigation reports, provide guidance to stakeholders concerned
5. Merger and Acquisition (M&A)
• Manage Legal and Compliance Due Diligence for M&A activities
• Manage post-acquisition compliance integration activities
6. Training and Education
Partner with local HR, prepare relevant training materials, develop an annual compliance training calendar to conduct new employee orientation training on the Company’s Standards
7. Other projects and tasks as required
